  • The circular abolished the earlier requirement mandating issuer companies to deposit 1% of the public issue size with stock exchanges before launching a public issue. This change was formalized through an amendment to the Regulation 38(1) of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018 (ICDR Regulations) on 17th May 2024.
  • This new direction will be applicable with immediate effect.

Note: Earlier, any company seeking to launch a public issue of equity shares has to deposit with the stock exchanges an amount equal to 1% of the issue size.
Objective of Adding and Removal of 1% Security Deposit
SEBI initially introduced the 1% security deposit rule to ensure companies addressed common investor complaints like refund delays, incorrect share allotments, and issues with dispatching physical share certificates after public or rights issues.
Now, with the implementation modern reforms ,most post-issue concerns have been resolved, making the 1% security deposit unnecessary.

  • Demat allotments, eliminating physical certificates.
  • ASBA (Application Supported by Blocked Amount) applications, where funds are blocked but not transferred until allotment.
  • Unified Payments Interface (UPI) payments, enabling faster and smoother transactions.

Other Key Points:
i.As per new regulations, SEBI has issued a significant update following an amendment to the ICDR (Issue of Capital and Disclosure Requirements) Regulations. The amendment resulted in the withdrawal of the previously outlined the process for issuing a No Objection Certificate(NoC) for the release of the 1% security deposit for public issues.
ii.Stock exchanges are now required to establish a joint Standard Operating Procedure (SOP) for the release of any 1% security deposits for processing pending refunds of deposits made under the previous framework.
iii.It has directed stock exchanges to notify all listed companies of the changes and publish the circular on their respective web portals.

  • Also, the stock exchanges are required to amend bye-laws, rules, and regulations as necessary to align with the new framework.

ECONOMY & BUSINESS

Goldman Sachs: India’s GDP Growth Estimated to Decline to 6.3% in 2025Goldman Sachs Group Inc. has projected India’s Gross Domestic Product (GDP) to decline to 6.3% Year-on-Year (Y-o-Y) in Calendar Year 2025 (CY25). This projection is based on continued fiscal consolidation and tighter credit growth due to macro-prudential measures taken by the Reserve Bank of India (RBI).

  • Despite this slow growth projection for CY25, India is expected to remain relatively insulated from potential global economic shocks, such as the United States of America (USA)-China trade war.

Key Findings:
i.It has estimated 25 basis points (bps) repo rate cut in February 2025, followed by another 25 bps cut in April. This would result into the lower repo rate i.e. to 6% and overnight interbank rates to 5.75%, supporting growth while keeping inflation within target.

  • However, retail loan growth is likely to remain subdued due to ongoing macro-prudential tightening.

ii.It has projected that India’s Current Account Deficit (CAD) will at 1.3% of GDP in CY25, due to robust services exports.

  • It has also anticipated that United States Dollar (USD)/ Indian Rupee (INR) to depreciate modestly to 85.5% -86% over the next 3 to 6 months, but to remain stable thereafter.

iii.According to Goldman Sachs, RBI is most likely to use cautious approach regarding monetary policy in 2025, given the need to balance domestic economic conditions with global factors like a strong US dollar and trade uncertainties.
Inflation:
i.Goldman Sachs has projected that headline inflation to average 4.2% Y-o-Y in 2025, decrease from over 7% in 2024.

  • While, Food inflation is estimated to decrease to 4.6% due to favourable weather conditions and improved agricultural output.

ii.As per Goldman Sachs, Core inflation has made steady progress lower from 5.0% Y-o-Y in CY23 to 3.5% Y-o-Y in CY24.

  • Thus, it has projected that core inflation will be around the RBI’s target of 4% Y-o-Y in CY25, with some downside risk in the event Chinese goods overcapacity being reallocated to regional markets due to US tariffs.

  • The report stated that the structural improvements and good economic prospects will support the resilience of India’s financial institutions.
