SEBI Sets Up Ad-hoc Committee To Review Ownership, Eco Structure Of Clearing CorporationsThe Securities and Exchange Board of India (SEBI) has set up an Ad-hoc Committee to review the ownership and economic structure of Clearing Corporations (CCs) and to suggest measures to ensure that CCs function as resilient, independent, and neutral risk managers.
- The ad-hoc committee will be chaired by Usha Thorat, former Deputy Governor (2005 to 2010) of the Reserve Bank of India (RBI).
Background:
i.A 2018 report by the Committee on Review of Regulations and Relevant Circulars related to Market Infrastructure Institutions (MIIs), led by R Gandhi (referred to as Gandhi Committee), stated that MII ownership should be diversified and widely owned.
ii.In terms of CCs, the committee stated that, while most clearing corporations in India are 100% owned by a single exchange, it is highly desired that they be widely held because they are risk bearing MIIs.
iii.The committee also stated that with the CCs being sensitive and high risk-bearing and risk managing entities, listing of clearing corporations should not be permitted.
iv.SEBI had laid down norms for the ownership and governance framework of CCs. It proposed that at least 51% of a recognised CC’s paid-up equity share capital be held by one or more stock exchanges. No person resident in India or outside India can hold more than 5% of the paid-up equity share capital in a CC.
v.Some other categories (depository, banking company, insurance company, their foreign counterparts including foreign stock exchange) can hold up to 15% of the paid-up equity share capital.
Key Points:
i.The Ad-hoc committee will examine the feasibility and expand the list of eligible investors who are permitted to take shareholding in a clearing corporation and suggest categories of investors who can acquire shareholding in such corporations.
ii.It will also examine the need to change the shareholding limit of different entities in a clearing corporation.
iii.The current ownership structure of a clearing corporation is dominated by the parent exchange with all clearing corporations under regulatory purview of it being subsidiaries of their parent exchanges.
iv.The Committee is expected to deliberate and suggest ideas for attaining the ideal financial structure for a clearing corporation, which ensures its financial independence and stability.
